Andrew Kalgreen concentrates his practice in the areas of commercial equipment finance and leasing, municipal lease-purchase financing and other public sector financing, banking and financial institutions, and commercial transactions. As a former senior counsel for two national equipment finance companies, Mr. Kalgreen has extensive experience and knowledge in matters related to structuring, documenting and negotiating financing transactions and advising financial organizations with respect to federal and state laws affecting their business operations.

REPRESENTATIVE EXPERIENCE

  • Provided legal guidance on structures, terms and conditions for equipment financing transactions including matters related to compliance with banking regulations, tax benefits and requirements, residual protection, early termination provisions and lease-end return and sale options
  • Documented and negotiated middle-market and large ticket equipment lease and loan transactions for commercial, government and non-for-profit customers. Transactions ranged from $200,000 to $90,000,000. Substantial experience in financings for business aircraft and brown water vessels, tax-exempt equipment financings for state and local governments and equipment financings for not-for-profit organizations by conduit structures.
  • Drafted and updated equipment leasing and financing contracts used by national leasing companies. Contracts included lease agreements, secured loan agreements, aircraft loan and security agreements, aircraft leases, collateral security agreements, ship mortgages, business banking (or small-ticket) loans and leases, state and local government lease-purchase agreements, tax-exempt conduit financing agreements, and contracts for both the purchase and sale of equipment financing transactions.
  • Designed and conducted training programs to educate contract specialists and sales officers of equipment finance companies. Training programs included issues related to legal entity organization and authorization, UCC secured transactions, terms and conditions of standard lease contracts, and municipal leasing.
  • Provided legal advice and counsel in connection with several lease and loan portfolio sales, including a $500 million sale of a line-of-business equipment finance portfolio
