Anthony Caldwell concentrates his practice in the areas of taxation, commercial transactions, and public finance. Mr. Caldwell’s experience includes counseling energy and natural resource clients regarding taxation issues, involvement in and structuring of complex business transactions, representation of clients before the Internal Revenue Service and state tax department, and service as bond and underwriter’s counsel for numerous public finance offerings. Mr. Caldwell is a certified public accountant.

Prior to attending law school, Mr. Caldwell gained experience in both public and private industry accounting. While in public accounting, he performed entity financial statement reviews and compilations and consulted for several of his clients. While in private industry accounting, Mr. Caldwell served as a senior financial reporting specialist for a Fortune 150 corporation and also spent time as a corporate controller.

REPRESENTATIVE EXPERIENCE

  • Served as bond counsel for a major student housing project for a university. Services included transactions structuring, preparation of financing documents, and bond closing representation.
  • Served as placement agent counsel on issuance of tax increment financing bonds. Services included preparation of private placement memorandum and related documents.
  • Served as underwriter’s counsel on the issuance of several refinancing. Services included preparation of offering documents, purchase agreement and related documents.
  • Represented individuals and organizations in matters concerning state tax department. Services included negotiation with state tax department, draft of filings and representation at hearings.
