Leslie Miller-Stover concentrates her practice in the areas of energy law, commercial transactions and real estate. She has handled matters involving mineral acquisitions, including mining operation acquisitions from bankruptcy debtors, drafting joint operating and other related agreements in acquiring drilling and production rights, coordinating and performing due diligence, title defect curative work, mineral title examinations, and lease negotiations. Ms. Miller-Stover's practice also covers commercial title examinations, the preparation of commercial title opinions and title insurance policies, acquisitions, financing, commercial loan closings, and commercial leasing.

REPRESENTATIVE EXPERIENCE

  • Organized and coordinated land, well, and other pertinent records to prepare a data room for sale of oil and gas operations. Conducted data room visits, prepared and negotiated transactional documents, and closed transaction.
  • Managed due diligence, prepared transactional documents, and conducted closing for $250 million purchase of over 50,000 acres of fee and leasehold Marcellus assets
  • Managed and performed all aspects of due diligence for multi-million dollar transaction of 330 wells, related gathering line and facilities crossing two states, and 25,000+ acres of leasehold property
  • Prepared complex exploration agreements, related joint operating agreements, drilling commitments, gas balancing agreements, gas marketing agreements and other necessary documents among multiple parties to establish areas of mutual interest and other drilling program arrangements in West Virginia, Kentucky, Virginia, and Pennsylvania
  • Managed and performed all aspects of due diligence and preparation of transactional documents for a series of purchases that totaled over 100,000 acres of “deep rights” with the target formation being the Marcellus shale
