Mike Stuart concentrates his practice in the areas of corporate law, commercial transactions, economic development and government relations, and certain intellectual property matters. He assists clients in all aspects of business development from new locations and expansions to mergers, sales, purchases, financings and dissolutions.

AREAS OF CONCENTRATION

Commercial Transactions, Merger & Acquisitions
Mr. Stuart has experience representing a diverse mix of business clients involving formation, sale, purchase, and merger activities. Mr. Stuart has represented clients in deal negotiations and complex stock and asset acquisitions.

E-Commerce, Trademark & Copyright
Mr. Stuart has represented clients to secure certain intellectual property rights before the United States Patent & Trademark Office and the United States Copyright Office. Mr. Stuart has also represented clients that have assigned or transferred certain intellectual property rights.

Securities Regulation
Mr. Stuart has been involved in evaluating client-specific needs regarding securities compliance in private placements and public offerings. Mr. Stuart has experience representing issuers with respect to federal and state securities law issues. Mr. Stuart has represented clients in ways before the Securities & Exchange Commission as well as before dozens of state regulators.

Commercial Lending
Mr. Stuart has represented lenders and borrowers in commercial lending matters, participations, and work-out situations. Mr. Stuart has been involved in the all aspects of commercial lending transactions to a variety of organizations.

Business Organizations
Mr. Stuart has organized commercial business entities including corporations and "S" corporations, limited liability companies and limited and limited and general partnerships. In addition, Mr. Stuart has considerable experience in post formation activities including liquidations, retirement of members, and mergers. Mr. Stuart is experienced in Delaware corporate law in addition to the State of West Virginia.

PROFESSIONAL AND CIVIC ASSOCIATIONS

Mr. Stuart is an active member of the Small Business Committee of the West Virginia Chamber of Commerce, a member of the Advisory Board of the West Virginia Small Business Development Center, and immediate past Chairman of the Entrepreneurship Committee of A Vision Shared. Mr. Stuart is also the President of WV Publishing, LLC and the Publisher of WVInc. Magazine.

EDUCATION

Mr. Stuart earned his law degree from Boston University where he concentrated his studies in business organizations and finance. While at Boston University, Mr. Stuart served as Editor of the Journal of Law & Medicine. Mr. Stuart holds dual degrees from West Virginia University with a Bachelor of Science in Business Administration (Accounting) and a Bachelor of Arts in Political Science.

EXPERIENCE

After graduating from West Virginia University, Mr. Stuart joined the public accounting firm of Coopers & Lybrand, LLP (PricewaterhouseCoopers) as a financial statement accountant where he traveled extensively internationally in representing various Fortune 500 clients.

Mr. Stuart previously practiced with the national law firm of Kirkpatrick & Lockhart, LLP in its Boston office. During his time at Kirkpatrick & Lockhart, LLP, Mr. Stuart represented various biotech, software, start-up and growth-focused companies in a variety of acquisitions, mergers, divestitures, private placements, and public offerings.

ASSOCIATIONS

Mr. Stuart is actively licensed to practice law in the State of West Virginia and the Commonwealth of Massachusetts. He is admitted to practice before the U.S. District Court for the Southern District of West Virginia, the West Virginia Supreme Court of Appeals, and the Supreme Court of the United States.
