Mike Stuart concentrates his practice in the areas of corporate law, energy and commercial transactions, economic development, and government relations. He counsels both international and U.S. clients on mergers and acquisitions, corporate finance, business development, mergers, dissolutions, financing, and management.  Mr. Stuart has represented numerous companies in certain financing activities including the development of Regulation D, Rule 506 private placements and related limited securities compliance matters including Securities and Exchange Commission and State securities "Blue Sky" compliance.

  • $13 million private placement for private company for the development of light weight freight containers
  • Represented a major natural gas producer in an $18.8 million private placement for natural gas drilling program with IDC tax credits for partnership investment
  • $4 million private placement for high technology biometrics company
  • Worked with clients to sell restricted securities pursuant to Rule 144a, company incentive plans, and various securities compliance and equity maintenance matters
  • Joint Venture Between Coal Companies. Negotiated and developed joint venture agreement and related documents among major coal producers
