Walter Williams experience over the years includes significant involvement in real estate related and other commercial transactions and financings, including title, contracts and other documentation, closings, and tax-exempt public and private financings.  He currently concentrates his practice in health care and business transactions involving health care providers, both for-profit and tax-exempt, confidentiality issues (including HIPAA), medical staff and bylaws issues, medical records, licensure, Medicare and Medicaid fraud and abuse, self-referral limitations, health care contracting, managed care, compliance, and general health care issues. Mr. Williams serves as leader of the firm’s Health Care Team.

REPRESENTATIVE EXPERIENCE

  • Recent land sales, transfers and acquisitions include transfer of entire hospital campus to another hospital and the conversion of a medical office building into a condo and the subsequent sale of a condo unit
  • Provided legal services in connection with the sale and lease of property for the development of medical office buildings as part of a new hospital campus, and assisted in the sale of property, with restrictions, to a local municipality for the development of a police and fire substation on the campus
  • Assisted in the sale of assets of a substantial independent and assisted living facility and related nursing home, and that necessitated the defeasance of publicly held tax-exempt indebtedness
  • Assisted in the closure of a small hospital facility and with the plans and financing for the adaptive health care reuse of the facility; provided legal services in connection with the possible restructuring of the corporate relationships of the parent organization and affiliates that included this same facility
  • Experienced in writing and reviewing real estate title opinions including oil and gas title opinions
