Business Department Representative Experience
  • Transactions:  Represented major bank in $700 million loan to a publicly traded partnership that manages coal and other natural resource properties nationally. 
  • Private Financing & Securities:  Represented a major natural gas company in an $18.8 million private placement for natural gas drilling program with IDC tax credits for partnership investment. 
  • Government Relations:  Drafted legislation on behalf of a Fortune 500 energy client, which clarified the requirements for notification of landowners in connection with development of coalbed methane development situations, and prepared implementation guidelines and procedures for the client to use under the new legislation.
  • Corporate Restructuring:  Lead counsel on the structuring of a major research nonprofit’s corporate structure; the restructuring positions the nonprofit to conduct for-profit operations and enter into joint ventures through for-profit subsidiaries.  .
  • Environmental:  Negotiated resolution of various environmental issues arising from sales and purchases of various businesses.
  • Deal Management:  Represented the owner and publisher of 40 daily newspapers and numerous other publications in 11 states in the acquisition of approximately half of the company’s publications, including, most recently, a multi-million dollar acquisition of the controlling interest in a joint operating agreement.
  • Commercial Development:  Represented an international manufacturing conglomerate in the location of a more than $175 million manufacturing facility, including negotiation, structuring and closing of financial incentives and structuring and documenting PILOT transaction.
