Biography

Anna Pratt loves that every day is challenging and fast paced in her practice of law. Working side by side with a team of lawyers, CPA’s, and financial planners, Anna’s goal is to assist those looking to plan for their business’s future. Growing up, Anna was a part of a family who successfully owned a multi-generational business. The ingrained work ethic is evident when clients work with Anna; she often becomes a “part of the family” when working with her business clients. Anna specializes in the areas of tax law, corporate restructuring, business transactions, and wealth and estate planning. She focuses her practice on clients who are looking to maximize wealth, reduce tax exposure, and if necessary, work to minimize adverse consequences. Anna tracks changes in federal and state tax law, in order to help her clients prepare for their corporate future, as well as the future of clients with wealth management needs.

Representative Experience

  • Assisted in representing international manufacturing companies in formation and operations of U.S. based affiliates
  • Advised clients on participating in COVID-19 related assistance programs, including SBA PPP loans and EIDL loans, as well as assisting clients with the practical considerations and tax consequences of the same
  • Assisted closely held professional employer organization with evaluating offers for company divestiture. Represented client in negotiating, structuring, and documenting a stock sale and partial roll-over transaction
  • Advised international manufacturing company on the most advantageous business structure for expansion into the U.S.
  • Represented locally owned restaurant in front of the West Virginia Office of Tax Appeals on petition for reassessment of sales and use tax
  • Corporate reorganization and consolidation of family owned businesses to streamline operations and increase profitability
  • Represented owners and management in transferring a multi-million dollar closely held business to its employees via an Employee Stock Ownership Plan (ESOP)
  • Advised auto dealership owner in evaluating offers to purchase franchise, real property, and assets
  • Represented trust beneficiary in litigation in an effort to protect interests and uphold trustee obligations
  • Defended corporation on an appeal before the United States Court of Appeals for the Fourth Circuit where the corporation sought damages for the misapplication and miscalculation of loan terms
  • Assisted in resolving individual and business tax controversies with the Internal Revenue Service ranging from offers in compromise to a trial before the United States Tax Court
