Biography
Mikha represents clients in connection with mergers and acquisitions, capital raises, and general corporate matters. She has experience advising on multi-million-dollar transactions, including acquisitions and private placements, and regularly drafts and negotiates purchase agreements, operating agreements, and other key transaction documents.
Mikha also advises on fund formation and securities offerings, including the preparation of private placement memoranda, subscription agreements, and related materials for private investment vehicles. Her practice includes advising clients on corporate governance, entity formation and restructuring, and a broad range of commercial matters, including the negotiation of service, supply, and confidentiality agreements.
Licensed to practice in Oklahoma and Louisiana, Mikha is actively involved in the legal community and currently serves as Vice-Chair of Membership for the Military Spouse J.D. Network. She is known for her attention to detail, clear communication, and practical, business-oriented approach. Outside of her practice, Mikha enjoys staying active, baking, and cheering on the LSU Tigers.
Representative Experience
- Represented an energy-focused private equity fund in a $25 million private placement of membership interests for investments in oilfield services companies
- Represented a real estate-focused investment fund in a $25 million private placement of membership interests for investments in rural real estate assets
- Represented a privately held investment company in a $9 million acquisition of a horticultural and greenhouse business through a combination of stock and asset purchases
- Represented a private equity fund in the $3 million acquisition of an upstream oil and gas company, including related wells, leasehold interests and midstream assets
- Represented private equity funds, investment companies and operating businesses in connection with capital raises, acquisitions and general corporate matters
- Drafted and revised private placement memoranda, operating agreements, subscription agreements and other fund formation and securities offering documents
- Advised clients on corporate governance, entity formation and restructuring, and commercial matters
