James Adkins is an associate in the Charleston office of Steptoe & Johnson and is a member of the Business Department and the Commercial Transaction, Corporate and Financial Services practices.  Mr. Adkins’ practice focuses on representing public and private companies in various merger, acquisition, and divestiture transactions. Mr. Adkins also regularly represents financial institutions, as well as borrowers and issuers, in finance transactions. He has significant experience in a wide range of transactions, including asset and stock acquisition and divestitures, secured and unsecured loans, and conventional and derivative financing transactions.

Key Experience

Represented coal producer in acquisition of certain non-core assets of a Chapter 11 debtor-in-possession for total consideration in excess of $50M. Representation included negotiation and documentation of credit facility with private equity investor to finance portion of purchase price.
Represented private equity group in two part transaction that included equity investment of $25M and credit facility of $100M.
Represented purchaser in the acquisition of decommissioned aluminum production facility from publicly traded company for total consideration in excess of $25M. Representation included buyer internal reorganization and formation of subsidiaries to act as holding companies of purchased assets.
