Biography
Erin Farabaugh is a corporate attorney with nearly 20 years of experience. She focuses her practice on mergers and acquisitions, general corporate counseling, regulatory compliance, and comprehensive business and operations planning. Erin is a results-driven and trusted advisor that brings clients a proven track record of navigating complex transactions, minimizing tax liabilities, and providing practical solutions to increase operational efficiencies.
Over the course of her career, Erin has built in-depth transactional experience by handling risk assessment and management, contract negotiations, program development, project management, corporate governance, operations leadership, human resources contract and policy management, and policy implementation.
She has worked with private and public companies, entrepreneurs, and the private investment community at all stages of the business life cycle. Erin has served industries including manufacturing, distribution, health care, technology solutions and staffing, software development, emerging technologies, life sciences, real estate development, retail, professional services, and social media marketing.
Erin has developed and presented numerous CLE and professional association seminars covering topics such as life sciences, growth equity funds, best practices in M&A, and business contracts.

Representative Experience
- Led team of transaction and regulatory counsel in structuring and implementing a reorganization of multi-state operations held through numerous legal entities into a new, consolidated, multi-state organization holding company with highly regulated operations in three states
- Managed outside counsel and internal business and financial teams in the negotiation, diligence, and implementation of multiple M&A initiatives for majority held portfolio companies, including a successful a joint venture in the ecommerce retail industry
- Collaborated with business teams and outside counsel to efficiently resolve regulatory matters, employment law matters, and commercial contract disputes in the cannabis, ecommerce, and aviation industries
- Served as outside corporate counsel and lead M&A counsel for clients in a wide range of industries, providing consultation and advice to senior management on daily legal and operational matters, including licensing matters, regulatory matters, employment matters, and third-party commercial agreements
- Represented multiple independent investment firms, serving as general counsel to portfolio companies following acquisition, and serving as lead counsel in a number of private equity portfolio investment and divestiture transactions
- Served as outside general counsel to an early stage investment company in the robotics industry, serving as lead counsel for the company’s portfolio investments in seed and early stage preferred equity rounds
- Represented numerous venture capital and private equity investors, as well as portfolio companies and issuers of private debt and equity, from emerging company startup services, to structuring and negotiating seed and growth financing, and designing optimal strategies for exit
- Served as outside corporate counsel to an early-stage orthopedic medical device company, advising on FDA 510(k) regulatory compliance, corporate governance, debt and equity transactions, exclusive distribution agreements, and its acquisition by a manufacturer and distributor of bone and joint restoration products and biological solutions for extremities
- Successfully completed retail franchisee’s acquisition of over 20 new store locations
- Advised clients regarding current treaties and regulations and the impact on new business formation, current practices, and options for restructuring, and optimizing business operations
- Provided detailed analysis of the tax implications of the Fifth Protocol, amending the U.S.-Canada Income Tax Convention, to assist client with restructuring its cross-border business operations to obtain optimal tax treatment
