- Lead counsel in a complex commercial transaction for the sale of a national supply company requiring Department of Justice Antitrust Clearance
- Negotiated, drafted, and closed a multi-million-dollar international joint venture and equity transaction between European and United States-based businesses
- Acted as buyer’s counsel for the purchase of a professional soccer team
- Acted as buyer’s counsel for the purchase of a stadium and related facilities used by a Pennsylvania-based professional soccer team
- Completed commercial credit facility of $50 Million as borrower’s counsel for a national industrial manufacturer
- Represented commercial real estate developer in the multi-million-dollar purchase and development of a mixed-use medical and athletic facility
- Counseled commercial real estate developer successfully negotiated and completed long-term ground leases with national retailers and restaurants
- Recapitalized a national manufacturer with more than $33 Million in senior credit facilities to fund future growth, lower its cost of capital and fund a shareholder distribution
- Acted as long-term outside general counsel to county-wide economic development council devoted to sustainable job growth and creation
- Completed a multi-million-dollar joint venture between a privately held regional manufacturing company and a publicly traded national manufacturing company
- Served as borrower’s counsel for national supply company’s commercial credit facilities in excess of $40 Million
- Acted as buyer’s counsel for real estate holding company’s acquisition of Class A high-rise office space building
- Acted as buyer’s counsel in the multi-million-dollar acquisition of a glass manufacturing facility
- Counseled industrial manufacturer in a multi-million-dollar joint venture with a publicly traded company for ownership and operation of an environmental services company
- Acted as buyer’s counsel in the purchase of an eighteen-hole golf course and related assets
- Acted as bank counsel in modification of multi-million-dollar revolving credit facilities
- Served as buyer’s counsel in $8 Million acquisition of a real estate development company
- Acted as bank counsel in multi-million-dollar commercial real estate acquisition loan
- Acted as borrower’s counsel in completed credit facilities of $55 Million for a national steel products manufacturer
- Counseled a real estate developer in multi-million-dollar commercial real estate transaction
- Acted as borrower’s counsel in multiple state financing projects involving the Pennsylvania Industrial Development Authority and Business In Our Sites Program
- Negotiated long-term supply agreements for international supplier of commercial equipment
- Acted as buyer’s counsel in multi-million-dollar acquisition of fuels business, including fuel depots, convenience stores, real estate, and trucking
- Acted as seller’s counsel in multi-million-dollar sale of international equipment manufacturer
