Biography
Lauren Sawyer leverages her in-house experience to guide clients as they navigate a variety of business transactions, including mergers, acquisitions, and divestitures, entity formation, and corporate governance. As a former corporate counsel for a national craft store chain, Lauren is familiar with the ins and outs of business operations including lease agreements and amendments, use waivers, ocean carrier agreements, and Master Service Agreements.
Lauren works with large and small companies, individuals, nonprofit corporations, banking institutions, and real estate investment firms, assisting them with commercial real estate acquisition, disposition, financing, construction, and leasing. She has prepared and negotiated real estate purchase and sale agreements and commercial leases. Additionally, Lauren has drafted oil and gas purchase and sale agreements and has worked on documents including mineral deeds and transition services agreements.

- Prepared and negotiated real estate purchase and sale agreements, corporate governance documents, deeds of trust, deeds, and other closing documents for purchasers and sellers in real estate transactions
- Drafted and negotiated retail and office leases, lease termination agreements, and other documents
- Advised clients regarding specific issues related to commercial leases, including leases involving outside construction contracts
- Drafted entity formation and corporate governance documents for new companies
- Drafted loan documents including joinder agreements, ancillary corporate governance documents, guaranties, promissory notes, security agreements, and other closing documents for loan agreements
- Represented a client at closing for a $28 million deal that included a construction loan agreement, guaranties, a membership interest purchase agreement, mortgages, leases, and several other transaction documents
