Sarah M. Rambin

Biography

Sarah focuses her practice on energy law, corporate and real estate matters, and she has extensive experience with the drafting and negotiation of various commercial agreements in the energy industry, handling complex title issues and managing large-scale due diligence projects.

Prior to joining Steptoe & Johnson, Sarah served as in-house counsel for a privately held energy company, where she provided day-to-day legal support across the business and was responsible for contract drafting and negotiation, managing company litigation and disputes, handling corporate governance matters, advising on employment and regulatory matters, and leading a team of attorneys and staff in the land title department.

Representative Experience

  • Successfully represented privately held natural gas company in the $1.8 billion sale of assets to a large-scale public company
  • Experienced in drafting and negotiating purchase and sale agreements, deeds, easements, rights-of-way, leases, amendments, assignments, stipulations of interest, subordination agreements, master services agreements, consulting agreements, software agreements, and non-disclosure agreements
  • Drafted and negotiated various gas sales, marketing, transportation, pipeline capacity, asset management and responsibly-sourced gas (RSG) agreements, including a direct fuel supply proposal for data center
  • Collaborated with business teams and outside counsel to resolve land and contract disputes, regulatory matters, employment and insurance matters
  • Represented privately-held company in general corporate matters, including attending board meetings, drafting minutes, resolutions and consents, as well as other governance matters
  • Managed two private offerings of exempt securities under Reg. D, including the formation of new business entities, completion of foreign registrations, drafting of offering documents, reviewing and revising contracts with broker-dealers, and submitting SEC and state blue sky filings
  • Managed several large-scale due diligence projects for clients in mineral asset transactions, including the preparation of defect responses to evaluate the value of assets
  • Examined real estate documents, conducted research, drafted and certified hundreds of title opinions for clients with assets located across the Appalachian Basin
  • Conducted real estate closings for clients in PA and WV
