Biography

As a transactional attorney, Kelsey Miller has a broad practice. Kelsey focuses primarily in the areas of commercial lending and commercial real estate transactions, including the protection of creditors’ rights through foreclosure, bankruptcy, and collections. Kelsey brings a practical approach to her practice and is skilled at structuring and documenting commercial and construction loans in the most efficient manner to achieve her clients’ goals. Kelsey also regularly assists clients with business formation and estate planning.

Representative Experience

  • Lender’s counsel in a transaction for the acquisition of nine (9) grocery-anchored shopping centers in Maryland, Virginia, and Pennsylvania
  • Lender’s counsel in refinance transaction of six (6) cross-collateralized credit facilities involving seven (7) related entities and collateral located in three (3) states
  • Buyer’s counsel in the acquisition of decommissioned coal-fired power plant in Montgomery County, Maryland
  • Regularly represent local and regional banks and other financial institutions in various commercial transactions including the acquisition, construction, and refinance of hotels, retail stores, self-storage facilities, mixed-use development, and single-family residential subdivisions
  • Regularly serve as settlement agent for commercial and residential real estate transactions including the preparation of deeds and other incidental closing documents
