Angela M. Stockbridge


Angela Stockbridge is an experienced attorney whose practice focuses on advising employers and insurers on employee benefits, executive compensation, and equity plans, with an emphasis on navigating employee benefits issues during mergers and acquisitions. She offers comprehensive guidance and support to facilitate compliance with regulations from the Internal Revenue Service and the Department of Labor, including preparation of 280G analyses and voluntary correction program documentation. Angela is skilled in designing customized equity incentive plans for both private and public companies. She has a proven track record in negotiating with the Internal Revenue Service and Department of Labor on behalf of employers to mitigate penalties and taxes related to the requirements of the Affordable Care Act (ACA). Additionally, Angela has a passion for advising employers, insurers, and health management organizations on the impact of state legislation on health services that may be mandated or restricted by conflicting state and federal laws.

Angela’s extensive experience also includes serving as in-house counsel for the Employment Retirement Income Security Act (ERISA) and executive compensation matters in two publicly traded Fortune 500 companies, where she successfully managed the legal compliance of health and welfare, retirement, fringe, and equity benefits for multinational corporations. Furthermore, Angela has valuable insights into the administrative and operational aspects of employee benefits through her previous role as a benefits consultant and human resources professional.

  • Successfully negotiated with Department of Labor to eliminate proposed $137,000 Employer Shared Responsibility Payment relating to ACA Forms 1094-C and 1095-C
  • Prepared change in control retention plans and agreements to provide equity and equity appreciation rights for employees of publicly traded and privately held companies
  • Advised $2.6 billion insurance brokerage company on compliance with disclosure requirements to group health plan fiduciaries under ERISA ‎Section 408(b)(2)(B)‎
  • Analyzed state legislation to provide guidance to Fortune 500 insurance provider relating to health care services during pregnancy and gender-affirming care
  • Provided guidance to healthcare system with 65,000 physicians on entity-wide compliance with ERISA, ACA, and overlapping state statutes and regulations
  • Prepared ERISA-preemption analyses for healthcare networks related to proposed state regulation
  • Drafted corrective documentation for nonqualified deferred compensation plan to mitigate potential Section 409A federal taxes and penalties
