Biography
Daniel (Dan) focuses his practice on helping clients achieve their business goals, by counseling them through entity formation, financing and other transactions, as well as general business and contract matters. He has experience in master services agreements, non-disclosure agreements, intellectual property agreements, statements of work, contractor and vendor agreements, novation agreements, and manufacturing agreements.
Dan previously worked in the legal department of a chemical and advanced system technology company. In that role, he managed many state and federal filings including air permitting, tax- free alcohol permitting, and business dissolutions filings with the Secretaries of State of West Virginia and Delaware. In addition, he has drafted and revised policy manuals and has provided legal research for government contract compliance.
Dan’s chemical engineering background allows him to bring a technical perspective to complex contract and transactional matters, particularly in industries such as manufacturing, energy, and environmental services. This expertise helps Dan effectively address issues related to product development, compliance, and risk management, ensuring that contracts and transactions align with both legal and technical requirements.

Representative Experience
- Organized an Article 9 secured transaction between a chemicals and advanced software technology research and development firm and the United States Department of Commerce
- Served as per diem counsel to the West Virginia House of Delegates Energy and Public Works Committee and Economic Development Subcommittee
- Assisted in representing a coal mine through a Chapter 11 reorganization (Civil, LLC, et al. (Bankr. S.D. W.Va. 2025)
- Advised clients in multiple states with respect to ongoing EPA litigation and regulatory matters, including the Good Neighbor Plan, Greenhouse Gas reporting, NESHAP, Coal Combustion Residuals, Effluent Guidelines, and Section 111 of the Clean Air Act Subpart W (40 CFR part 60 subparts OOOOb and OOOOc)
- Assisted in representing a venture capital firm in selling their equity interest in multiple subsidiary entities
- Assisted lenders in drafting commercial loan documents, including loan agreements, promissory notes, deeds of trust, and security agreements
