Joe Lewis is a litigator who brings a practical, business-minded approach to complex legal problems. Although he sits in the firm’s Litigation Department, Joe’s practice naturally spans the firm’s labor and employment and corporate departments. Clients rely on him for clear, grounded advice—whether they’re navigating a dispute, managing growth, or responding to internal business challenges.
Joe focuses his litigation practice on real estate disputes, corporate governance conflicts, and employment matters. He represents business owners, stakeholders, and employers in both state and federal court, including cases involving adverse possession, prescriptive easements, shareholder oppression, fiduciary breaches, and employment-related claims. Joe is committed to delivering practical solutions, reducing risk, and protecting the business interests his clients value most—whether financial, operational, or reputational.
Beyond litigation, Joe counsels privately held companies across multiple industries. He provides day-to-day legal support to clients on a wide range of issues, including employment claims, contract disputes, real estate transactions, regulatory compliance, and internal governance. His clients value his ability to identify legal and business risks early, respond decisively, and offer solutions tailored to their operations and goals.
Joe’s background in corporate and transactional work enhances his litigation practice. - Successfully litigated real estate disputes involving adverse possession, boundary line issues, easement rights, and title conflicts
- Represented shareholders, founders, and minority owners in disputes involving fiduciary duties, management control, and buy-sell enforcement
- Advised employers on ADA, FLSA, and Title VII compliance and defended employers in related litigation
- Provided ongoing legal counsel to healthcare, technology, and professional services companies on contract disputes, employment issues, real estate matters, and compliance
- Counseled closely held businesses on corporate governance and succession planning, including owner disputes and interest transfers
- Reviewed and negotiated contracts related to real estate acquisitions, software development, vendor relationships, and consulting engagements
- Represented a regional zoo in defending against public nuisance and Endangered Species Act claims brought by an animal rights organization
- Assisted startups with early-stage structuring, IP protection, and financing strategy, including cap table management and equity grants
- Formed C-Corporation in Delaware for tech startup focused on app development
- Reviewed commercial contracts for tech startup focused on artificial intelligence-based infrastructure projects
- Managed capitalization tables and stock option plans
- Prepared documents and provided closing services on behalf of a national bank for a revolving line of credit secured by operating assets
- Revised a variety of consumer lending documents on behalf of a national financial institution
- Assisted regional dental practice with the acquisition of a competing dental practice, including advising on a consulting agreement
- Represented a software development company on HIPAA requirements for covered entities and recommended language in Master Service Agreements, Statements of Work, and Business Associate Agreements
- Represented borrowers and lenders in a wide variety of financing transactions, including, secured and unsecured commercial financing transactions (including syndicated and bilateral credit facilities, senior and subordinated credit facilities, asset-based credit facilities, acquisition financing, and real estate financing)
