Biography
Taylor assists businesses with entity formation and corporate governance, real estate transactions, and mergers and acquisitions. She drafts and negotiates a broad range of corporate, technology, and intellectual property (IP) agreements, including licensing, confidentiality and nondisclosure, IP protection and transfer, private securities, and corporate formation documents. She also prepares and negotiates proprietary SaaS and PaaS license and development agreements, trademark applications, and privacy policies across diverse industries.
Taylor represents buyers and sellers in asset and stock purchase transactions, with extensive involvement in due diligence, drafting, closing, and post-closing transition. She also assists clients with complex commercial real estate transactions, including leases, amendments, assignments, construction agreements, purchase and sale agreements, easements, and closing documents.
In her practice, she has also worked closely with clients to develop and implement employment and compliance documentation, including offer letters, contractor and executive agreements, compensation and commission programs, severance packages, and multi-state employee handbooks.
Representative Experience
- Represented an international franchisor in real estate and franchise operations matters, including negotiation of more than 60 commercial leases and development of franchisee leasing and compliance requirements
- Represented the buyer of a multi-location restaurant group in an asset acquisition involving real estate, intellectual property, equipment, and related commercial agreements
- Advised a corporate restaurant chain in its transition to a hybrid corporate and franchise model, including preparation of franchise documentation and implementation of a regulatory compliance strategy
- Represented a national software developer and provider in the negotiation and development of comprehensive licensing and services agreements
- Represented financial institutions in commercial real estate transactions and commercial loan matters ranging from $5-$50 million
- Represented issuers in private securities offerings under Regulation D ranging from $2 million to $20 million
