Biography

Rick Warren focuses his practice in business with an emphasis on mergers and acquisitions including sales to private equity companies, entity formation and private placement security offers, general corporate advice including real estate, and litigation thrown off from his clients. Rick represents a wide variety of clients, including private equity firms, individuals and families, and mid-sized companies. He keeps his client’s goals at the forefront and fights diligently for them.

Representative Experience

  • Represented a beverage bottling company in its sale to a major international company for approximately $360 million
  • Represented a privately held company in the sale of private prison facilities to a publicly traded company for approximately $180 million
  • Negotiated on behalf of a client a $250 million line of credit from nationally recognized banking institution
  • Represented an independent insurance agency in the sale of its equity to a private equity backed insurance agency company for over $30 million
  • Acts as outside general counsel for a closely held family business in a variety of investments in hedge funds, private equity, privately held companies, and a variety of other investment vehicles totaling over $5 billion
  • Represented private equity funds focused on the food industry in the investment of approximately five companies for an aggregate investment exceeding $100 million
  • Represented an aerospace private equity fund in the purchase of various aerospace companies in multiple transactions totaling more than $350 million
  • Guided a privately held software company and its members through its divestiture to a public company for approximately $60 million
  • Represented a privately held car warranty company in the sale of assets to a private equity backed portfolio company for approximately $54 million
  • Represented a private equity backed portfolio company in the purchase of several car warranty companies in multiple transactions totaling more than $120 million
  • Represented a family office in the sale of over 60 pizza franchises to another franchisee for over $50 million
  • Represented a veterinarian in the sale and purchase of several veterinarian clinics for over $15 million in the aggregate
  • Represented a trucking company in the sale of its assets to competitor for over $8 million
  • Represented a telecommunications company in the sale of its assets for over $10 million
  • Represented a book publishing company in the sale of its assets to a private equity backed portfolio company for over $30 million
  • Represented a professional soccer team in franchise negotiations with the league
  • Represented more than eight separate clients in the purchase and/or sale of major fast-food franchises
  • Represented an environmental services company in the purchase of a competitor for over $1 million
  • Represented the founding members of a company in the sale of all the equity to certain key employees for over $18 million
  • Represented a heating and air conditioning company in the sale of its assets to a private equity backed HVAC portfolio company for approximately $13 million
  • Represented a client in a private placement offering in excess of $10 million, followed by advising them on the subsequent purchase of the assets of two independently owned electrical companies
  • Represented a client in a private placement offering in excess of $5 million to purchase and operate various CBD stores throughout Oklahoma and Texas
  • Formed three separate limited partnerships to enable the client to allow outside investors to invest in an oil and gas limited partnership, ultimately raising $10 million and $20 million to purchase oil and gas minerals across multiple shale plays throughout the country
  • Represented a privately held oil and gas services company in the sale of equity to a publicly traded oil company for $85 million
  • Represented a client in a $250 million investment from a large private equity group to start an oil and gas mineral fund
  • Represented an oil and gas software company in the sale of proprietary software for approximately $25 million to a private equity backed oil and gas portfolio company
  • Represented an oil and gas client in mezzanine loan financing in excess of $75 million
  • Represented an oil and gas client in the sale of oil and gas equipment for more than $150 million in three separate transactions
  • Represented an oil and gas services company in the sale of equity to a publicly traded company for approximately $285 million
  • Represented a client in the purchase of a well boring and oil and gas services company for over $5 million
  • Represented a client in private placement offering in excess of $15 million to start an oil field services company
  • Represented an oil and gas drilling company in the sale of the company to a private equity backed portfolio company for over $10 million
  • Represented a group of local Oklahoma investors in a private placement offering where the offering proceeds were used to purchase an Oklahoma bank
  • Represented a state-chartered Oklahoma bank and its shareholders in its acquisition by another bank
  • Represented successful manufacturing company and its shareholders in a divestiture of its assets to an Irish public company for $385 million
  • Represented a privately held bank in a merger with another bank for approximately $45 million
  • Represented a real estate client in a private placement offering of over $100 million to purchase commercial and mixed-use real estate properties
  • Represented a landowner in a long-term ground lease valued at over $100 million over the lease term to a solar developer
  • Represented various landowners in ground leases and purchase options with solar developers in Oklahoma and Texas
  • Represented a real estate fund in the purchase of various farms, ranches, and other rural real estate located in Texas, Oklahoma, Colorado, and Kansas for aggregate purchase price of over $100 million
  • Represented mini storage company in the sale of a large facility to a private equity backed real estate portfolio company for over $12 million
  • Represented a multifamily real estate company in a private offering in excess of $25 million
  • Represented a health care services company in its sale to private equity backed portfolio company for approximately $32 million
  • Represented a large, multi-site dental practice in the purchase and sale of various dental clinics for over $10 million in the aggregate
  • Represented a dental practice in its sale to private equity backed dental portfolio company for approximately $2 million
  • Represented an optometry practice in the sale of its practice to a private equity backed optometry portfolio company
  • Represented a health care company in a private placement offering in excess of $15 million
  • Represented a nephrologist physician group in the sale of its practice to a hospital
  • Represented a home health and hospice company in the purchase of various home health and hospice companies for over $10 million in the aggregate
